HIDDEN CAMP BUYERS CLUB

As a member of the Association, Member is entitled to obtain food produced and provided by the Association’s other members.  The food products that may be obtained by Member include but are not limited to products produced by Hidden Camp Farm (hereinafter, the “Farm”) whose address is 378 White Road, Canajoharie, New York 13317.  All transactions are directly between the members and the Association’s sources.

Member agrees to the following:

1. Personal Use.  Any food products received will be for personal use only and shall not be sold and shall not be distributed to anyone outside Member’s family and/or guests. 
2. Product Ownership.  The Association is not a business and does not resell products.  Members own all products and items as soon as they are released by the source or farm.  Thus, members bear all liability for anything they have ordered as soon as it is ordered and shipped and anything that is stored on hand on behalf of members at the distribution site. 

3. Waiver of Claims Against the Association.  Member acknowledges that there are or may be risks of harm encountered in visiting or entering the Farm or any other premises where the Farm’s animals are located.  Member hereby knowingly and voluntarily assumes the risk of any and all such harm and also hereby waives any and all right to make, file, or pursue any claims, demands, suits, actions, causes of action, damages, etc. against the Association and/or any of its members, agents, employees, representatives, principals, lessors, lessees, vendors, contractors, subcontractors, etc. that arise out of or in any way relate to any injury, illness, death, loss or damage caused, in whole or in part, by (a) the handling or consumption of any food obtained from an Association member or the Farm, (b) any handling, processing, consumption or use of any food product made by a producer belonging to the Association after it has been retrieved or otherwise obtained by the Member, (c) visiting or entering the Farm or any premises where the Farm’s animals are located.  Member understands and intends that this assumption of risk, waiver, and release be binding upon the Member's heirs, executors, and administrators and assigns and includes any and all children. 

4. Waiver of Claims Against the Farm.  In addition, Member waives any and all right to make, file, or pursue any claims, demands, suits, actions, causes of action, damages, etc. against the Farm and/or any of its owners, agents, employees, representatives, principals, lessors, lessees, vendors, contractors, subcontractors, etc. that arise out of or in any way relate to any injury, illness, death, loss or damage caused, in whole or in part, by (a) the handling or consumption of any food obtained from the Association or the Farm, (b) any handling, processing, consumption or use of any other food product made by a producer belonging to the Association after it has been retrieved or otherwise obtained by the Member, (c) visiting or entering the Farm or any premises where the Farm’s animals are located.  Member understands and intends that this assumption of risk, waiver, and release be binding upon the Member's heirs, executors, and administrators and assigns and includes any and all children.

5. Indemnity - Association.  Member shall indemnify and defend the Association and its members and shall hold harmless the Association and its members, agents, employees, representatives, principals, lessors, lessees, vendors, contractors, subcontractors, etc. against any and all demands, claims, suits, actions, causes of action, etc. for any injury, illness, death, loss or damage that arises out of or relate in any way to (a) any handling, processing, consumption, or use of any product produced by the Farm, (b) any handling, processing, consumption or use of any food product made by a producer belonging to the Association after it has been retrieved or otherwise obtained by the Member, (c) the visit by any person that Member brings to or causes to visit the Farm or any premises where the Farm’s animals are located. 

6. Indemnity – Farm.  Member shall indemnify and defend the Farm and its owners and shall hold harmless the Farm and its owners, agents, employees, representatives, principals, lessors, lessees, vendors, contractors, subcontractors, etc. against any and all demands, claims, suits, actions, causes of action, etc. for any injury, illness, death, loss or damage that arises out of or relate in any way to (a) any handling, processing, consumption, or use of any product produced by the Farm after it has been retrieved or otherwise obtained by the Member, (c) the visit by any person that Member brings to or causes to visit the Farm or any premises where the Farm’s animals are located.

7. Entrapment.  Member attests and affirms that he/she is not an agent for a federal, state, or local government agency trying to entrap or investigate the Farm and its owners.

8. Membership Termination.  Member can terminate his/her membership at any time and for any reason with a 30-day notice. Membership contributions will be reimbursed on a pro-rated basis if 30-day notice is given.

9. Termination of Association.  The Association reserves the right to terminate all functions and activities of the association at any time without notice and reserves discretion as to the reimbursement of any membership contributions to any members.

10. Severability.  If, for any reason, any provision or provisions of this agreement are determined to be invalid and contrary to any existing or future law, such invalidity shall not impair the operation or affect those portions of this agreement which are valid.

11. Captions.  The captions of sections and subsections contained in this agreement are for convenience only and shall not control or affect the meaning or construction of any of the provisions of this agreement.
